Terms of Service

1. The Parties & Agreement

"QuBit33" and "we" refer to JungStudios LLC, a legally registered limited liability company, operating under the trade name QuBit33. "You" or "Client" refers to any individual or entity accessing our website or engaging our services.

These Terms of Service, together with any signed project agreement or statement of work, constitute the entire agreement between you and JungStudios LLC. In the event of a conflict, the signed project agreement takes precedence over these general terms.

2. Services

JungStudios LLC dba QuBit33 provides the following categories of services:

• AI training, consulting and advisory services for businesses and teams
• Custom AI-powered website design, development and deployment
• Business automation systems, chatbot development and AI integrations
• AI-driven social media marketing, content creation and management
• Website hosting management on Amazon Web Services infrastructure
• Ongoing maintenance, support and optimization retainer services

Specific deliverables, timelines, pricing and acceptance criteria for each engagement are defined in individual project agreements, proposals or statements of work signed between the client and JungStudios LLC.

3. Payment Terms

Project Setup Fees

• Deposit: 50% of the total project fee is due before work commences
• Balance: Remaining 50% is due upon project completion and client approval
• Payment Methods: Stripe (credit/debit card) or Wise (international bank transfer)
• Invoicing Entity: All invoices are issued by JungStudios LLC
• Currency: All pricing is in US Dollars (USD) unless otherwise specified in writing

Monthly Retainer Services

• Retainer fees are billed monthly in advance on the agreed billing date
• Services remain active and uninterrupted while payments are current
• Accounts 7 or more days past due may result in service suspension following written notice
• 30 days written notice is required to cancel any ongoing retainer service
• Retainer fees paid in advance are non-refundable for the current billing period

Refund Policy

• Project deposits are non-refundable once work has commenced
• For projects cancelled before work begins, deposits may be refunded minus any administrative costs incurred
• Monthly retainer fees are non-refundable for the current billing period
• Partial refunds for incomplete deliverables will be evaluated on a case-by-case basis in good faith
• All refund requests must be submitted in writing within 14 days of the relevant invoice date

4. Client Responsibilities

To ensure successful and timely project delivery, clients agree to:

• Provide timely access to required accounts, credentials, assets and information upon request
• Respond to approval requests, feedback questions and revision requests within 5 business days
• Ensure all content, images and materials provided are owned by the client or properly licensed for commercial use
• Maintain strict confidentiality of all login credentials, API keys and access information provided
• Notify QuBit33 immediately of any suspected security breaches, unauthorized access or compliance concerns
• Pay all invoices in accordance with the agreed payment schedule
• Designate a single point of contact for project communications to ensure efficient delivery

Delays caused by client non-responsiveness may extend project timelines. QuBit33 will not be held responsible for delivery delays resulting from the client's failure to meet these responsibilities.

5. Intellectual Property

Client Ownership

Upon receipt of full payment for a project, the client owns all custom creative deliverables produced specifically for that engagement — including but not limited to website designs, copy, graphics and custom code written exclusively for the client.

QuBit33 Ownership

JungStudios LLC retains full ownership of:

• Proprietary frameworks, methodologies, tools and processes used in service delivery
• Pre-existing code libraries, components and templates incorporated into client projects (client receives a perpetual license to use these in their deliverable)
• General AI system architectures, automation templates and workflow designs
• All QuBit33 branding, marketing content and materials on qubit33.com

Portfolio Rights

JungStudios LLC reserves the right to display completed work in our portfolio, case studies and marketing materials unless the client formally requests confidentiality in writing at the time of project commencement.

6. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary, sensitive or non-public information shared during the course of any engagement. JungStudios LLC will not disclose client business information, strategies, data or financials to any third party without prior written consent, except as required by applicable law or as strictly necessary to deliver contracted services.

This confidentiality obligation survives the termination of any service agreement and remains in effect indefinitely.

7. Limitation of Liability

Our total aggregate liability to you for any and all claims arising from or related to our services shall not exceed the total fees paid by you to JungStudios LLC in the three (3) calendar months immediately preceding the event giving rise to the claim.

QuBit33 does not guarantee specific business outcomes, revenue increases, lead generation results or return on investment from any AI service we provide. Results vary based on client implementation, industry, market conditions and factors outside our control.

8. Warranties & Disclaimers

JungStudios LLC warrants that all services will be:

• Performed in a professional, competent and workmanlike manner consistent with industry standards
• Substantially in conformance with the deliverables described in the applicable project agreement
• Provided by personnel with the requisite skills and experience

QuBit33 does not warrant that:

• Services will be entirely uninterrupted, error-free or available at all times
• AI systems will achieve any specific performance metrics or conversion rates
• Third-party services, APIs or integrations will remain available, unchanged or uninterrupted
• Results will meet any specific business objectives not explicitly defined in a project agreement
• The website will rank in any specific position on search engine results pages

9. Acceptable Use

You agree not to use QuBit33 services to:

• Violate any applicable local, state, national or international law or regulation
• Infringe upon the intellectual property rights, privacy rights or other rights of any third party
• Transmit, distribute or store spam, malware, viruses or any harmful code
• Engage in fraudulent, deceptive, misleading or illegal business practices
• Harass, abuse, threaten, defame or harm any individual or group
• Attempt to gain unauthorized access to our systems, servers or data
• Reproduce, resell or redistribute our services without written authorization

Violation of these acceptable use terms may result in immediate termination of services without refund and potential legal action.

10. Termination

• Termination by Client: 30 days written notice to terminate any active retainer service. Project agreements may be terminated per the specific terms defined therein.
• Termination by QuBit33: We reserve the right to terminate services immediately for non-payment, material breach of these terms, illegal use, or conduct we reasonably determine is harmful to our business, team or other clients.
• Effect of Termination: Upon termination, the client retains ownership of all fully paid deliverables. Access to managed services, hosting and ongoing systems ends on the effective termination date. Outstanding balances remain due and payable.

11. Governing Law & Dispute Resolution

These Terms of Service shall be governed by and construed in accordance with the laws of the United States. Any disputes arising from or related to these terms or our services shall first be addressed through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in accordance with applicable arbitration rules, or resolved in courts of competent jurisdiction in the United States.

You agree that any claim must be brought in your individual capacity and not as a plaintiff or class member in any purported class action proceeding.

12. Modifications to Terms

JungStudios LLC reserves the right to modify these Terms of Service at any time. We will post the updated terms on this page with a revised effective date. For existing clients, material changes will be communicated via email. Your continued use of our services after modifications are posted constitutes your acceptance of the revised terms.
